Terms of Use
Introduction
Please read these Terms of Use ("Terms") carefully, as they govern your use of Uto and its personalized content services (including access), which include all websites and software applications that contain or link to these Terms (collectively, "Uto Services"), as well as any news reports, videos, or other materials provided through Uto Services ("Content"). The use of Uto Services may be subject to additional terms and conditions provided by Uto, which are hereby incorporated into these Terms.
1. Uto Service Options
We offer various Uto service options. Some Uto service options are provided to you for free, while others require payment before access ("Paid Subscription"). We may also offer special promotional plans, memberships, or services, including those providing third-party products and services. We are not responsible for the products or services provided by such third parties. Not all users may have access to unlimited services. We will clarify which services are available to you upon registration. If you cancel or interrupt your subscribed unlimited services (e.g., by changing your payment details), you may not be able to resubscribe. Please note that unlimited services may be discontinued in the future, in which case you will no longer be charged for them.
2. Service Limitations and Modifications
We will exercise reasonable care and technical expertise to maintain the operation of Uto Services and provide you with a personalized and immersive audio experience. However, our service offerings and availability may change at any time and are subject to applicable laws without liability to you. For example:
-
Uto Services may be temporarily interrupted due to technical difficulties, maintenance, testing, or updates (including those required to comply with legal and regulatory changes).
-
Our goal is continuous improvement. We may modify, suspend, or discontinue all or part of Uto Services (including specific features, plans, and promotions) permanently or temporarily.
-
Uto is not obligated to provide any specific content through Uto Services, and Uto or applicable rights holders may remove specific songs, videos, podcasts, or other content without notice.
If you have prepaid for a Paid Subscription and Uto permanently discontinues the service before the prepaid period ends (as defined in the "Payments and Cancellations" section below), Uto will refund the unused portion of your subscription fee. Your account and billing information must be up to date for us to process any refunds.
Uto is not liable for service interruptions or failures caused by the internet, government authorities, third parties, or other events beyond our control, and we have no obligation to issue refunds in such cases.
3. Your Rights to Use Uto Services
Access to Uto Services
- Subject to your compliance with these Terms (including any applicable additional terms), we grant you a limited, non-exclusive, and revocable license for personal, non-commercial use of Uto Services and Content ("Access Rights"). These Access Rights remain valid until terminated by you or Uto. You agree not to redistribute or transmit Uto Services or Content.
- Even if Uto software applications and their content are installed on your device, they are not sold or transferred to you. Uto and its licensors retain ownership of all copies of Uto software applications and Content.
Ownership of Uto
-
Uto Services and Content are the property of Uto or its licensors. All trademarks, service marks, trade names, logos, domain names, and other brand features of Uto are the exclusive property of Uto and its licensors. These Terms do not grant you any rights to use Uto brand features for commercial or non-commercial purposes.
-
You agree to follow Uto's User Guidelines and not to use Uto Services, Content, or any related parts in any manner not expressly permitted by these Terms.
4. External Links on the Website
The pages of this website provide links to other websites, and you may access these linked websites through the links provided. However, those linked websites are not subject to the privacy policy of this website. You must refer to the privacy policies of the linked websites.
5. Security of Uto Website Operations
Do not attempt to damage or interfere with the data and functions on the Uto website in any way, nor engage in any acts of intrusion or destruction of any online system. Otherwise, Uto will pursue legal action. At the same time, Uto is not responsible for guaranteeing the stability, security, error-free operation, timeliness, or uninterrupted services. Users agree to assume all risks associated with using Uto website services and any damages that may result from those risks.
6. About These Terms
Under applicable law, you may have certain rights that cannot be limited by contract. These Terms are not intended to restrict those rights.
We may modify these Terms (including other Uto terms incorporated herein) at any time, provided we notify you in a reasonable manner before changes take effect. This may include posting a revised agreement on the applicable Uto Service or providing additional notice (such as by email or in-app messages for significant changes). Any changes will not apply to disputes that arose before the date of the revised Terms or other Uto terms incorporating those changes. Your continued use of Uto Services after any changes indicates your acceptance of the updated Terms. If you do not agree with the updated Terms, you may contact us to terminate your account. The "Effective Date" at the top of this document indicates the last time these Terms were updated.
7. Entire Agreement
The Terms of Use (including any incorporated terms) constitute the entire agreement between you and Uto regarding the subject matter and replace all previous written or oral agreements, proposals, or representations. If the provisions of the Terms of Use conflict with referenced pages, the Terms of Use shall prevail. However, if a contract conflicts with the Terms of Use, the contract terms shall take precedence, followed by the Terms of Use, and then the referenced pages (such as the Privacy Policy). Customers are responsible for identifying conflicting terms to authorized users. Until then, the Terms of Use shall apply.
